VisionWave Holdings Signs Term Sheet for Tier IV Data Center JV in Israel
VisionWave Holdings (NASDAQ: VWAV) announced a term sheet with Lucky Whale Production Limited to establish a joint venture for developing a Tier IV data center campus in Beth Shemesh, Jerusalem district, Israel. VisionWave would hold a 51% effective look-through interest via a 68% stake in the joint company, with consideration of approximately $40 million in VWAV shares and no cash outlay. The underground hardened facility is designed for 10.5 MW IT load across 10 data halls with direct liquid cooling for AI/HPC workloads, targeting Uptime Institute Tier IV certification. The transaction remains subject to due diligence, definitive agreements, and regulatory approvals including stockholder and SEC clearance.
